Both questions test one thing: whether your reason for moving and your reason for choosing this company are the same story. A plainly stated ordinary motive beats a flattering script, because the script has nothing behind it when the follow-up comes.
For the counteroffer question, answer that compensation is not the only reason you are moving and tie it to the role, scope, learning or environment you want. A real counteroffer later should be judged against the original reasons for leaving.
Describe a direction rather than a title, tie it to work this employer plausibly has, and be honest about which parts you have not settled. The question is a retention and self-awareness check, and both an over-rehearsed plan and a shrug fail it.
